Terms & Conditions

Please read these terms carefully before using QuickWrk. By accessing or using our service, you agree to be bound by these terms.

Summary: These Terms & Conditions govern your use of QuickWrk ("the Service"), a SaaS project-management platform. By creating an account or using any part of the Service — including making a payment — you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Acceptance of Terms

These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User", "Customer", or "you") and QuickWrk Technologies Pvt. Ltd. ("QuickWrk", "we", "us", or "our"), governing your access to and use of the QuickWrk software-as-a-service platform available at quickwrk.io and its subdomains (collectively, the "Service").

By registering for an account, initiating a free trial, subscribing to a paid plan, or otherwise accessing the Service, you acknowledge that you have read these Terms, understand them, and agree to be legally bound by them. If you are agreeing on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

These Terms apply to all visitors, users, and customers of the Service. Use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

2. Definitions

  • "Service" — The QuickWrk SaaS platform, including all features such as task management, ticket management, kanban boards, shared mailboxes, team management, and APIs.
  • "Account" — A registered workspace created by a Customer to access the Service.
  • "Workspace" — A tenant-isolated environment within the Service associated with a Customer's domain.
  • "Subscription" — A recurring paid plan granting access to specific features and user limits.
  • "Billing Cycle" — The recurring period (monthly or annual) for which subscription fees are charged.
  • "Authorized User" — Any individual invited by a Customer to use their Workspace under their Subscription.
  • "Content" — All data, files, text, and information uploaded to or created within the Service.
  • "Payment Gateway" — Third-party payment processors (such as Stripe, Razorpay, or PayPal) used to process subscription payments.
  • "Downgrade" — A move to a lower-tier plan with fewer features or fewer seats.

3. Account Registration & Security

3.1 Eligibility

You must be at least 18 years of age and capable of forming a binding contract to register for the Service. By registering, you represent and warrant that you meet these eligibility requirements.

3.2 Account Information

You agree to provide accurate, current, and complete information during registration and to keep your account information updated. Providing false or misleading information is grounds for immediate account termination.

3.3 Account Security

You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must immediately notify QuickWrk at security@quickwrk.io of any unauthorized access or breach of security. QuickWrk is not liable for any loss or damage arising from your failure to protect your credentials.

3.4 One Account per Workspace

Each Workspace is associated with one billing owner. You may not share or transfer workspace ownership without prior written consent from QuickWrk.

4. Subscription Plans & Features

QuickWrk offers multiple subscription tiers. Current plan details, pricing, and feature limits are published on our Pricing page and are subject to change with reasonable notice.

4.1 Plan Selection

You may select a subscription plan at registration or at any time from your account settings. Plan features and limits apply immediately upon activation.

4.2 Plan Upgrades

Upgrading to a higher-tier plan takes effect immediately. Any price difference for the remaining days in the current billing cycle will be prorated and charged to your payment method on file.

4.3 Plan Downgrades

Downgrading takes effect at the start of the next billing cycle. If your current usage exceeds the limits of the lower plan (e.g., more users than the plan allows), you will be prompted to reduce usage before the downgrade is applied. Unused credit from the current cycle is non-refundable unless otherwise stated.

4.4 User Seats

Each plan specifies a maximum number of Authorized Users. Adding users beyond your plan limit will require an upgrade or an additional per-seat charge as applicable to your plan.

5. Payment & Billing

Important: All fees are due in advance. Failure to pay may result in service suspension or termination. By providing a payment method, you authorize us to charge all applicable fees.

5.1 Fees & Currency

All subscription fees are listed in US Dollars (USD) unless otherwise stated on the checkout page. QuickWrk reserves the right to change pricing with at least 30 days' prior notice via email or in-app notification. Price changes take effect at the start of your next billing cycle after the notice period.

5.2 Payment Methods

We accept major credit and debit cards (Visa, Mastercard, American Express), as well as other payment methods displayed at checkout. All transactions are processed securely through our Payment Gateway partners. QuickWrk does not store your full payment card details on our servers — all payment data is handled directly by PCI-DSS-compliant payment processors.

5.3 Automatic Renewal

Your subscription renews automatically at the end of each Billing Cycle unless you cancel before the renewal date. By subscribing, you authorize QuickWrk to charge your payment method on file for the renewal amount without further action on your part.

5.4 Failed Payments

If a payment fails, QuickWrk will attempt to retry the charge up to three times over a period of seven (7) days. During this period, your access to the Service may be restricted. If payment is not collected after three attempts, your subscription will be suspended. You will receive email notifications for each failed attempt. You are responsible for keeping your payment information current.

5.5 Taxes

Prices displayed are exclusive of applicable taxes (e.g., GST, VAT, sales tax). Applicable taxes will be added at checkout based on your billing address. You are responsible for paying all taxes associated with your use of the Service.

5.6 Invoices

A digital invoice is generated automatically for each successful payment and made available in your account billing dashboard. Invoices can be downloaded in PDF format at any time.

6. Free Trial

QuickWrk may offer a free trial period for paid plans. The following conditions apply to free trials:

  • Free trials are available to new customers only. One free trial per organization.
  • The trial duration is as specified on the Pricing page (typically 14 days).
  • No credit card is required to start a free trial unless explicitly stated.
  • At the end of the trial, you will be prompted to subscribe. If you do not subscribe, your account will be automatically downgraded to the free Starter plan or deactivated, as applicable.
  • QuickWrk reserves the right to terminate a free trial at any time if abuse is detected.
  • Content created during a free trial may be retained for up to 30 days after trial expiry to allow data export.

7. Refund Policy

7.1 General Policy

QuickWrk offers a 7-day money-back guarantee for first-time paid subscriptions. If you are not satisfied with the Service within 7 days of your first payment, you may request a full refund by contacting billing@quickwrk.io.

7.2 Conditions for Refund

  • Refund requests must be submitted within 7 calendar days of the initial subscription charge.
  • The money-back guarantee applies only to the first subscription purchase and does not apply to renewals, upgrades, or additional seat purchases.
  • Refunds are not available for annual plans after the 7-day window has passed.
  • Refunds are not issued for partial billing periods upon cancellation (except where required by applicable law).
  • Accounts found to be abusing the refund policy (e.g., repeated signups for the money-back guarantee) may be denied refunds.

7.3 Refund Processing

Approved refunds are processed to the original payment method within 7–10 business days, subject to your bank or card issuer's processing times. QuickWrk is not responsible for delays caused by third-party financial institutions.

7.4 Non-Refundable Items

The following are non-refundable under any circumstances:

  • Setup fees, onboarding fees, or professional services fees
  • Subscription renewals after the initial 7-day guarantee window
  • Charges incurred due to overuse or additional seat purchases
  • Accounts terminated for violation of these Terms

8. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in a manner that does not infringe the rights of others or restrict their use and enjoyment of the Service. You must not:

  • Use the Service to transmit, distribute, or store any material that is unlawful, harmful, threatening, abusive, defamatory, or offensive.
  • Attempt to gain unauthorized access to any part of the Service, other accounts, or connected systems.
  • Use the Service to send unsolicited commercial communications (spam).
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service.
  • Resell or sublicense access to the Service without prior written authorization.
  • Use automated scripts, bots, or crawlers to access the Service in a way that exceeds normal usage or disrupts service for other customers.
  • Upload or transmit viruses, malware, or any other malicious code.
  • Use the Service for competitive intelligence, benchmarking, or to build a competing product.

QuickWrk reserves the right to suspend or terminate accounts that violate this policy without notice and without refund.

9. Intellectual Property

9.1 Our IP

The Service, including all software, algorithms, designs, text, graphics, logos, and trade names, is the exclusive property of QuickWrk Technologies Pvt. Ltd. and is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited license to use it during an active subscription.

9.2 Your Content

You retain full ownership of all Content you upload to the Service. By submitting Content, you grant QuickWrk a limited, non-exclusive, royalty-free license solely to host, store, process, and display your Content to provide the Service. We do not claim ownership of your data and will not sell it to third parties.

9.3 Feedback

If you provide feedback, suggestions, or feature requests, you grant QuickWrk a perpetual, irrevocable, royalty-free license to use and incorporate such feedback into the Service without any obligation to compensate you.

10. Data & Privacy

10.1 Data Ownership & Isolation

Each Workspace operates in a fully isolated tenant environment. Your data is logically separated from other customers' data and is never shared between workspaces. QuickWrk implements industry-standard technical and organizational measures to protect your data.

10.2 Data Processing

QuickWrk processes your data solely to provide and improve the Service, in accordance with our Privacy Policy. We act as a data processor on your behalf for all Content you store in the Service.

10.3 Data Portability & Export

You may export your data at any time from your account settings in standard formats (CSV, JSON). QuickWrk will retain your data for 30 days after account termination or cancellation to allow final export, after which it will be permanently deleted.

10.4 Security

We use encryption in transit (TLS 1.2+) and at rest, automated daily backups, and role-based access controls. However, no system is completely immune to breach. You are encouraged to use strong passwords and enable two-factor authentication.

11. Uptime & Service Level Agreement (SLA)

QuickWrk targets a monthly uptime of 99.9% for paid plans ("Uptime Commitment"), excluding scheduled maintenance and circumstances beyond our reasonable control.

11.1 Scheduled Maintenance

We will provide at least 48 hours' advance notice via email or status page for scheduled maintenance windows that may affect availability. Emergency maintenance may occur with shorter notice.

11.2 SLA Credits

If monthly uptime falls below 99.9% due to our fault, eligible paid customers may request a service credit equal to one day of subscription fees for each hour of excess downtime, capped at 30 days of fees per month. Credits must be requested within 30 days of the incident via support@quickwrk.io.

11.3 Exclusions

The SLA does not apply to downtime caused by: your misuse, third-party service failures (e.g., payment processors, cloud providers), scheduled maintenance, DDoS attacks, or force majeure events.

12. Limitation of Liability

Important: Please read this section carefully as it limits QuickWrk's liability to you.

To the maximum extent permitted by applicable law, QuickWrk and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, data, goodwill, or business interruption — arising from your use of or inability to use the Service, even if advised of the possibility of such damages.

In no event shall QuickWrk's total cumulative liability to you for all claims arising out of or relating to these Terms or the Service exceed the greater of: (a) the total fees paid by you to QuickWrk in the twelve (12) months preceding the claim, or (b) USD $100.

Some jurisdictions do not allow exclusion or limitation of certain damages. In such jurisdictions, QuickWrk's liability is limited to the greatest extent permitted by applicable law.

13. Indemnification

You agree to defend, indemnify, and hold harmless QuickWrk and its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service in violation of these Terms
  • Your Content uploaded to the Service
  • Your violation of any applicable law or third-party rights
  • Your breach of any representation or warranty made in these Terms

14. Termination

14.1 Cancellation by You

You may cancel your subscription at any time from your Account Settings → Billing page. Cancellations take effect at the end of the current Billing Cycle. You will retain access to paid features until the period end, after which your Workspace will be downgraded or deactivated. No partial refunds are issued for the remaining period (unless within the 7-day money-back window).

14.2 Termination by QuickWrk

QuickWrk may suspend or terminate your account immediately and without notice if you:

  • Violate any provision of these Terms or our Acceptable Use Policy
  • Fail to pay subscription fees after reasonable notice
  • Engage in fraudulent, illegal, or abusive conduct
  • Pose a security risk to the Service or other customers

In the event of termination for cause, no refund will be issued for unused subscription fees.

14.3 Effect of Termination

Upon termination: (a) your license to use the Service ends immediately; (b) you must cease all use; (c) your data will be retained for 30 days for export, then permanently deleted. Provisions of these Terms that by their nature should survive termination (e.g., IP ownership, limitation of liability, indemnification, governing law) will remain in effect.

15. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. You agree that any dispute arising out of or relating to these Terms or the Service shall be resolved as follows:

  1. Informal resolution: You agree to first contact us at legal@quickwrk.io and attempt to resolve the dispute informally. We will work in good faith to resolve it within 30 days.
  2. Arbitration: If informal resolution fails, disputes shall be submitted to binding arbitration under the rules of the Indian Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Bangalore, India. The arbitration shall be conducted in English.
  3. Exceptions: Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.
  4. Class action waiver: You agree to resolve disputes with QuickWrk on an individual basis only, and not as part of any class or representative proceeding.

16. Changes to These Terms

QuickWrk reserves the right to modify these Terms at any time. When we make material changes, we will:

  • Update the "Effective Date" at the top of this page
  • Send an email notification to the registered account holder at least 30 days before the changes take effect
  • Display an in-app banner notifying you of the update

Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance. If you do not agree with the revised Terms, you must cancel your subscription before the effective date.
